Terms and Conditions The following principal terms cover all client relationships with Chambers Brook Pty Ltd (CB), ABN 43-589-254-018, unless specified separately in writing.1. Provision of Services1.1 CB provides management consulting advice and services to clients in relation to talent management, employee engagement, OnBoarding and associated services. 1.2 CB consultants are professionally qualified and experienced professionals. Liaison with other services providers will occur where appropriate, with explicit client approval. 1.3 The release of any individual information may only occur with the express written consent of the individual prior to the release of information. 2. Confidentiality of Records 2.1 In this agreement "Confidential Information" means consulting records and files as well as matters discussed during consulting sessions. 2.2 CB agrees to keep confidential all client information. CB further agrees to ensure that this obligation of confidentiality is adhered to by any of its employees or agents who may have access to the confidential information. 2.3 CB acknowledges that the obligation of confidentiality set out above is binding upon it after the termination of this Agreement. 3. Payment 3.1 In consideration of the services outlined in 1 above, CB will charge its clients either a fixed fee, estimated fee or hourly fee based on it's services. 3.2 Fees are quoted excluding GST. 3.3 Additional consulting fees are may be charged at an agreed rate. 3.4 Payment terms are described in proposals agreed to by the client. 4. Variation of Services 4.1 From time to time the client may chose to vary the services on the basis of negotiation and prior agreement with CB. 4.2 In the event of a variation or commencement of a new project the provisions of this agreement shall remain in force. 4.3 Failure of either party to require strict performance by the other of any provisions of the terms and conditions will not affect its rights with respect to continued or subsequent breaches. 5. General Provisions 5.1 The law of the State in which the contract or proposal is signed is applicable. 6. Cancellation policy
